These Terms of Service ("Terms") govern your use of zeyvera.ca and any business continuity consulting services provided by Zeyvera ("Company," "we," "us," or "our"). By accessing our website or engaging our services, you agree to be bound by these Terms.

Zeyvera provides business continuity consulting services to Canadian small and medium-sized businesses (SMBs). Our services include, but are not limited to:
The specific scope of services for each client engagement is defined in a separate Statement of Work or engagement agreement.
Our consulting engagements are provided on a flat-fee basis as described in your engagement agreement. Fees are non-refundable once work has commenced unless otherwise agreed in writing. Payment terms are specified in your individual engagement agreement.

Upon full payment of all fees, clients receive a license to use deliverables produced during their engagement for their internal business purposes. Zeyvera retains ownership of all methodologies, frameworks, templates, and tools used or developed in connection with services. You may not resell or distribute our deliverables without written permission.
Both parties agree to maintain the confidentiality of proprietary and sensitive information shared during an engagement. Zeyvera will not disclose client business information to third parties without consent, except as required by law. Clients agree not to disclose Zeyvera's proprietary methodologies or deliverables to third parties without written consent.
Our services provide planning and documentation support — they do not guarantee any particular business outcome. Zeyvera's liability for any claim arising from our services is limited to the fees paid for the specific engagement giving rise to the claim.
In no event shall Zeyvera be liable for indirect, incidental, consequential, or punitive damages arising from use of our services.
Our services are provided "as is." Zeyvera makes no warranties, express or implied, regarding the completeness, accuracy, or fitness for a particular purpose of our deliverables. Business continuity planning reduces risk — it does not eliminate it.
These Terms are governed by the laws of Canada and the province of Ontario. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our services after such changes constitutes acceptance of the new Terms.
